Agreement to these Terms

These Terms of Use ("Terms") govern your access to and use of Waylocate public campus and facility maps at waylocate.com and related pages (the "Service"). Waylocate is developed and operated in the United States as a research, pilot, and early-stage technology project. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

Waylocate helps visitors find their way inside campuses, hospitals, and other facilities using maps that a Campus Publisher makes public. The Service is provided for convenience and general orientation. It is not a substitute for official emergency procedures, safety systems, access control, clinical guidance, or personnel instructions on site. We may modify, suspend, or discontinue any part of the Service at any time.

Demonstration and pilot maps

Some Waylocate pages show demonstration or pilot maps that we publish for evaluation (for example, at URLs such as `/sbu`). Demonstration maps are provided for evaluation and general orientation only. They may not reflect current building layouts, access rules, or official campus or hospital information. Demonstration maps are not official navigation systems and are not a substitute for on-site signage, personnel instructions, or emergency procedures. By continuing past the demonstration notice on such pages, you agree to use the map only for its intended evaluation purpose and acknowledge our Privacy Policy.

Campus Publishers and end users

A "Campus Publisher" is the school, hospital, company, or other organization that chooses to publish maps for its campus or facility on Waylocate. "You" or "End User" means an individual who uses the Service for its intended purpose of viewing maps and obtaining directions. These Terms apply to End Users unless you have a separate written agreement with us or with a Campus Publisher.

Platform operator and Campus Publisher roles

We provide the Waylocate platform, including hosting, software, and delivery of published maps. A Campus Publisher controls what map content is published for its location, including buildings, floors, labels, routes, and any floor plans or layouts shown on Waylocate. When a third-party organization is the Campus Publisher, that organization is responsible for the accuracy, legality, and appropriateness of its published map content. When we publish a demonstration or pilot map ourselves, the map-specific disclaimers in these Terms apply to us as publisher of that map as well as operator of the Service.

Your license to use the Service

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful personal or campus-related navigation. You may not use the Service for any commercial resale, automated scraping, or competitive mapping product without our prior written consent. You may not copy, download, extract, or redistribute map data, tiles, vector geometry, or screenshots from the Service except as allowed by applicable open-source licenses clearly identified on the page.

Acceptable use

You agree not to misuse the Service. Prohibited conduct includes: attempting to gain unauthorized access to systems or data; interfering with the Service's operation; reverse engineering client or server components except where law expressly permits; introducing malware; misrepresenting your affiliation with a Campus Publisher; using the Service in violation of law; or using maps in a way that endangers people or property. We may suspend or block access if we reasonably believe you have violated these Terms.

Intellectual property

The Service, including its software, design, and branding, is owned by us or our licensors and is protected by intellectual property laws. Campus map content is provided by Campus Publishers. Publishing through Waylocate does not transfer ownership of underlying floor plans or building data to us. We receive the rights needed to host, cache, and display content that Campus Publishers submit. The Waylocate name and logos are our trademarks. You may not use our trademarks without written permission.

Floor plans and publicly available information

Maps may be created from materials supplied by Campus Publishers, which can include their own surveys, licensed plans, or publicly available building information. Campus Publishers represent that they have the rights needed to publish the map content they submit, including floor plans and building layouts. We do not independently verify every source or entitlement for third-party published maps. We do not warrant that any map is complete, current, or suitable for construction, safety, emergency egress, clinical use, or regulatory purposes. Temporary closures, construction, renamed rooms, or access restrictions may not be reflected immediately. Please follow on-site signage, security staff, and official campus or hospital instructions when they differ from the map. If you notice missing, outdated, or misleading content, use any in-map reporting feature provided or contact the Campus Publisher identified for that campus. If we are the Campus Publisher for that map, contact us at [email protected]. If you want map content removed from Waylocate, including for copyright or authorization reasons, see our Map Content Complaints page at waylocate.com/content-complaints. We handle good-faith removal requests and valid DMCA notices as described there.

Third-party services

The Service may rely on third-party software and data, including mapping libraries and content delivery networks. Your use of those components may be subject to separate third-party terms and licenses. We are not responsible for third-party services we do not control.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DIRECTIONS WILL BE ACCURATE OR SAFE IN ALL CIRCUMSTANCES.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAYLOCATE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON MAPS, DIRECTIONS, OR FLOOR PLAN CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD). SOME JURISDICTIONS, INCLUDING SOME U.S. STATES, DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnity

You agree to indemnify and hold harmless Waylocate and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.

Assignment

We may assign or transfer these Terms and our rights and obligations in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign your rights under these Terms without our prior written consent.

Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles, except where mandatory consumer protection or privacy laws in your state of residence require otherwise. You agree that the state and federal courts located in Suffolk County, New York shall have exclusive jurisdiction over disputes arising from these Terms, and you consent to personal jurisdiction in those courts. Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Nothing in this section limits either party's right to seek injunctive relief for misuse of the Service or intellectual property.

Changes to these Terms

We may update these Terms from time to time, including if our organizational structure changes. We will post the updated Terms on waylocate.com and update the "Last updated" date. Your continued use after changes become effective constitutes acceptance of the updated Terms.
